This DDIFO Dues Collection Consent Agreement (this “Agreement”) is effective as of the date last executed below (the “Effective Date”) by and between National DCP, LLC (“NDCP”) and the undersigned member of NDCP (the “Operator”) which is also a member of Dunkin’ Donuts Independent Franchise Owners (“DDIFO”).
1. Authorization and Consent. The Operator hereby authorizes and consents to NDCP’s invoicing, collection and remittance of the annual dues set and determined by DDIFO (the “Dues”) for each restaurant outlet owned and/or operated by the Operator and any NDCP processing and/or service charges required to provide this service.
2. Termination of Authorization and Consent. Either NDCP or the Operator may, at any time, terminate this Agreement by giving the other thirty (30) days prior written notice of termination. This Agreement will automatically terminate and no longer be effective upon the expiration of the thirty (30) day notice period.
3. Collection and Remittance of Dues. Once a year NDCP will collect the full amount of the DDIFO annual Dues required for each restaurant outlet (or portion thereof if the Operator joins DDIFO later in the year) and subsequently remit such Dues to DDIFO on behalf of the Operator within thirty (30) days of collection less any NDCP processing and/or service charges.
4. Release. The Operator, for itself and its directors, officers, shareholders, employees, agents, attorneys, insurers, parent, subsidiary companies, affiliates, successors and assigns and any other person or entity claiming by or through any or all of them, hereby irrevocably and unconditionally releases, relinquishes and forever discharges any and all actions, causes of actions suits, rights, charges, complaints, claims, controversies, damages, costs, expenses and any other liability of any kind or nature whatsoever, in law or equity, whether known or unknown, accrued or unaccrued, in any way related to NDCP’s collection and subsequent remittance to DDIFO of the Dues pursuant to this Agreement in which the Operator may have against NDCP or its officers, directors, employees, agents, attorneys, successors or assigns.
